(\u201ePrivco\u201c), einer in British Columbia gegr\u00fcndeten Gesellschaft, eine datierte Wertpapierumtauschvereinbarung (Securities Exchange Agreement) abgeschlossen hat, um ein 100%iges Recht, Eigentum und Interesse an der Gold-Liegenschaft Katoro (den \u201e<strong>Liegenschaften<\/strong>\u201c), gelegen in der Region Geita in Tansania (die \u201e\u00dcbernahme\u201c), zu erwerben<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Die Wertpapierumtauschvereinbarung (Securities Exchange Agreement) sieht den Erwerb s\u00e4mtlicher Wertpapiere von PrivCo vor, die zum Zeitpunkt des Vollzugs von den Aktion\u00e4ren von PrivCo gehalten werden. Bei Vollzug. Cameo wird 13 Millionen Stammaktien an PrivCo-Aktion\u00e4re zu einem angenommenen Preis von 0,075 USD je Aktie ausgeben, um 100 % aller ausstehenden Aktien von Privco zu erwerben. Privco und die darin enthaltenen Rechte an der Gold-Liegenschaft Katoro.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong><em>Am 25. April 2025 wurden die Aktien von Cameo Resources Inc (CSE: MEO) (FSE: Z88) zur Notierung an der Frankfurter Wertpapierb\u00f6rse (Frankfurt Stock Exchange, \u201eFSE\u201c) zugelassen unter der WKN: A3E27M, Tickersymbol: Z88.<\/em><\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Die Stammaktien von Cameo sind nun neben der FSE \u2013 der gr\u00f6\u00dften der sieben deutschen B\u00f6rsen - auch an der Canadian Securities Exchange notiert. Wir freuen uns auf den Beginn der Arbeiten an dieser Liegenschaft<\/em>\u201c<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Die Gold-Liegenschaften Katoro<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Die Liegenschaften umfassen 12,52 Quadratkilometer und liegen innerhalb des prospektiven Sukumaland-Gr\u00fcnsteing\u00fcrtels innerhalb des Lake Victoria Goldfield (LVGF) (Abbildung 1). Als einer der wichtigsten Bergbaustandorte in Afrika beherbergt Tansanias LVGF mehrere Goldlagerst\u00e4tten mit einem Umfang von mehreren Millionen Unzen, und einige der gr\u00f6\u00dften Goldunternehmen der Welt sind dort derzeit t\u00e4tig. Die Konzessionsgebiete werden bereits seit einiger Zeit von Kleinbergleuten abgebaut, was durch die zahlreichen flachen Gruben und Gr\u00e4ben belegt wird, in denen mit Eisenkarbonat umgewandelte mafische Vulkanite (Basalte) sowie Quarz-Feldspat-Porphyr-Intrusionen zutage treten. Gold kommt in Verbindung mit grauen Quarzadern und -str\u00e4ngen vor, die ein Pinch-and-Swell-Muster aufweisen und parallel zur Struktur der Ost-West-Scherzonen verlaufen. Die erste Zahlung in H\u00f6he von 250.000 USD wird nach Abschluss der Due-Diligence-Pr\u00fcfung durch das Unternehmen f\u00e4llig. Die zweite Zahlung in H\u00f6he von 250.000 USD ist innerhalb von sechs Monaten zu leisten. Es wird nicht erwartet, dass nach der Wertpapierumtauschvereinbarung neue kontrollierende Personen geschaffen werden.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Parallele Privatplatzierung<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Im Zusammenhang mit diesem Erwerb wird das Unternehmen eine nicht \u00fcber Broker vermittelte Privatplatzierung von bis zu 1.500.000 USD durchf\u00fchren, und zwar durch die Ausgabe von Einheiten zu 0,15 USD pro Einheit. Jede Einheit besteht aus 1 Stammaktie und einer H\u00e4lfte eines Optionsscheins, wobei jeder ganze Optionsschein 2 Jahre lang zu 0,30 USD aus\u00fcbbar ist. Das Unternehmen beh\u00e4lt sich das Recht vor, den Verfall der Optionsscheine zu beschleunigen, wenn die Aktien des Unternehmens \u00fcber einen Zeitraum von 10 Tagen zu 0,50 USD oder dar\u00fcber gehandelt werden, einschlie\u00dflich Tagen, an denen keine Aktien gehandelt werden.
